1. Who We Are

These terms cover the viceforge.us website and the software development, AI integration, mobile and consulting services of ViceForge LLC, a Wyoming limited liability company at 30 N Gould St, Ste R, Sheridan, WY 82801, USA. By using this website or our services you agree to them.

2. ViceForge Clip Machine

Our product ViceForge Clip Machine, available at viceforge.app, has its own Terms of Service at viceforge.app/terms. Those terms, not these, govern accounts, subscriptions and content on viceforge.app.

3. Client Projects

Every client engagement is governed by a written agreement or statement of work that sets the scope, timeline, price and acceptance criteria. If that agreement and these terms conflict, the agreement wins.

4. Intellectual Property

Code and deliverables created for a client become the client’s property once paid in full, unless the agreement says otherwise. ViceForge keeps ownership of its pre-existing tools, libraries and know-how, and grants the client a license to use any of them included in the deliverables.

5. Payment

Payment terms are set in each agreement. For fixed-price projects our standard is 50% upfront and 50% on completion. Invoices are issued in US dollars.

6. Confidentiality

We keep confidential the business information, code and data a client shares with us, and use it only to deliver the agreed work. We sign a separate NDA on request.

7. Website Content

The content on viceforge.us is provided for general information. We work to keep it accurate, but it is not a binding offer, and figures describe the stated date. To the extent the law allows, ViceForge LLC is not liable for indirect or consequential damages arising from use of this website.

8. Governing Law

These terms are governed by the laws of the State of Wyoming, USA, unless a client agreement names a different law.

9. Changes

We may update these terms. The date at the top of this page shows the latest version.
